ARTICLE I: NAME & PURPOSE
- Name – The name of this club shall be Chief of Sinners Chivalry Club.
- Purpose and Vision – 1 Corinthians 16:13-14 - Be watchful, stand firm in the faith, act like men, be strong. Let all that you do be done in love.
ARTICLE II: MEMBERSHIP & DUES
- Eligibility - Membership shall be closed and an application must be filled out with a reference from one current member, applications will be reviewed by the board when approved and upon payment of the dues as outlined in Section B Membership this will be granted. Each member may have a maximum of 3 referrals per year. Eligible members must be 21 years of age and male.
- Dues – An annual due of $55 is required from each member.
- Removal - The Executive Board has the right to revoke anyone’s membership at any time.
- Guests - Members will be allowed to have guests to sit in on a club meeting for a maximum of one meeting. After that, the guest must apply for membership and be approved. They will not be allowed back in any meetings. Club events, except for monthly Pow Wows, will be open invitation unless otherwise stated.
ARTICLE III: OFFICERS
- Officers – The officers shall be a President, Vice-President, Secretary, and Treasurer, Marketing Coordinator.
- Eligibility – Officers must be men of sound character, respectable in their community, loving husband and father and have exceptional leadership skills.
- Election – The officers shall be elected by ballot in December at the end of the previous officers’ term.
- Term – The officers shall serve for two years, and their term of office shall begin at the commencement of January the following year.
- Vacancy – If a vacancy occurs in the office of President, the Vice-President shall assume the office for the remainder of the term and vacancies in any other office shall be filled by a special election. Board members may also step in and fill any spot needed and cancel the special election.
ARTICLE IV: DUTIES OF OFFICERS
- President – it shall be the duty of the President to:
- Preside over meetings.
- Vote only in case of a tie
- Represent the club.
- Appoint committee chairpersons subject to the approval of the Executive Board
- Perform such other duties as ordinarily pertaining to this office.
- Inform Board Chief on events, meetings, problems, decisions, anything pertaining to the club to keep a good transparency in leadership.
- Vice-President – It shall be the duty of the Vice-President to:
- Preside in the absence of the President.
- Serve alongside the President in any role that is needed.
- Secretary – It shall be the duty of the Secretary to:
- Record the minutes of all meetings.
- Keep a file of the club’s records.
- Maintain a current roster of membership.
- Issue notices of meetings and conduct the general correspondence of the club.
- Treasurer – It shall be the duty of the Treasurer to:
- Receive all funds and process Request for Payment, Deposit Slip, and Officer Signature Forms.
- Keep an itemized account of all receipts and expenditures and make reports as directed.
- Marketing Coordinator – It shall be the duty of the Marketing Coordinator to:
- Be in charge of all marketing aspects of the club.
- Have a marketing plan designed for each year to help communicate with current members as well as reach potential members and the community.
ARTICLE V: MEETINGS
- Meetings – Regular meetings shall occur monthly.
- Special Meeting – Special meetings may be called by the President with the approval of the Executive Board.
- Quorum – A quorum shall consist of two-thirds (2/3) of the membership, with a minimum of 4 members and the President.
- Parliamentary Authority – Robert’s Rules of Orders, shall govern this club in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
ARTICLE VI: EXECUTIVE BOARD
- Responsibility – Management of this club shall be vested in an Executive Board responsible to the entire membership to uphold these bylaws.
- Membership – This Board shall consist of the founders of this club, Seth Stinnett, Clay Hall, Adam Rodgers, Brandon Bramlett and Brad Henson.
- Meetings – This Board shall meet quarterly to ensure the vision and preservation of the club.
- Authority – This Board has full authority to make changes and remove any appointed positions from this club. The Board can step in at any time and can override any decisions that have been made by the club. The board also has final authority over all matters pertaining to the club.
ARTICLE VII: Board Chief
- The Selection of Board Chief – there shall be a Board Chief who will rotate each year on the board.
- Duties of the Board Chief – The responsibilities of the Chief shall be to:
- Maintain an awareness of the activities and programs sponsored by the club and make sure the Board is up to date on everything.
- Meet on a regular basis with the president of the club to discuss upcoming meetings, long range plans, goals, and problems of the club.
- Attend regular meetings and executive board meetings as often as the schedule allows.
- Assist in the orientation of new officers.
- Explain and clarify policy and procedures that apply to the club.
- Maintain contact with the Cigar Bar being used for regular meetings.
- Provide direction in the area of parliamentary procedure, meeting facilitation, group-building, goal setting, and program planning.
- Aid the club treasurer in monitoring expenditures, fundraising activities, and corporate sponsorship to maintain an accurate and up-to-date account ledger.
- Inform club members of those factors that constitute unacceptable behavior on the part of the club members, and the possible consequence of said behaviors.
ARTICLE VIII: COMMITTEES
- Program and Marketing Committee – A program and marketing committee composed of the President and Vice-President as chairperson and four other members shall be appointed by the President and Vice-President, whose duty shall be to plan the overall events of the club for each year which then must be approved by the Executive Board.
ARTICLE IX: AMENDMENTS
- Selection – these bylaws may be amended by a two-thirds (2/3) majority vote of the chapter membership. With the exception of the bylaws affecting the Executive Board.
- Notice – The Executive Board may make amendments to the bylaws to ensure the purpose of the club. All members shall receive advance notice of the proposed amendment at least five days before the meeting.
PRACTICAL COMMITMENTS FOR CLUB MEMBERS
Members are expected to adhere to the highest standards of Christian, ethical conduct, treating others with respect, kindness, and humility. The Chapter shall maintain a zero-tolerance policy for any form of discrimination or misconduct.
Rule 1: Two Drink Maximum in any public space.
Rule 2: No sharing pictures, Facebook posts or anything from the club, the club is a closed club, and all information is only for the purposes of club members outside of private club socials outlets (i.e., Facebook club page).
Rule 3: Each member shall maintain sound character.
CREATION OF SUBCHAPTERS
- Eligibility
- Only active members of Chief of Sinners Chivalry Club are eligible to initiate the creation of a subchapter.
- Prospective subchapter founders must have a minimum membership tenure of 1 year with Chief of Sinners Chivalry Club's (Exceptions can be made with the vote of the National Board).
- Proposal Submission
- Prospective subchapter founders shall submit a written proposal to Chief of Sinners Chivalry Club's leadership team outlining the intent, purpose, and geographical scope of the proposed subchapter.
- Leadership and Structure
- A proposed subchapter must identify at least 5 active members who are willing to serve as founding members and leaders.
- The proposed subchapter should designate a Chairperson who will function as the local Chief and liaison with Chief of Sinners Chivalry Club's leadership.
- Geographic Scope
- The proposed subchapter's geographical scope must be well-defined and approved by the Chief of Sinners Chivalry Club's leadership.
- The subchapter's scope should not overlap with existing subchapters or hinder the growth of neighboring subchapters.
- Mission Alignment
- The proposed subchapter's goals, activities, and objectives should be in line with Chief of Sinners Chivalry Club's overarching mission and principles.
- The subchapter should contribute positively to the local community and uphold Chief of Sinners Chivalry Club's values.
- Approval Process
- The proposal for the creation of a subchapter shall be reviewed by the Chief of Sinners Chivalry Club's leadership team.
- The leadership team will assess the proposal's feasibility, alignment with club goals, and potential impact on the organization as a whole.
- Reporting and Accountability
- Once approved, the subchapter's Chairperson shall provide regular updates and reports to Chief of Sinners Chivalry Club's leadership.
- The subchapter shall adhere to Chief of Sinners Chivalry Club's policies, code of conduct, and financial guidelines.
- Dissolution
- The parent organization, Chief of Sinners Chivalry Club's, reserves the right to dissolve a subchapter if it deviates from the organization's values, mission, or poses a detriment to the club's reputation.
- Amendment
- These rules for subchapter creation are subject to amendment by Chief of Sinners Chivalry Club's governing body.
- Any proposed amendments to these rules shall follow the designated amendment process set by Chief of Sinners Chivalry Club.
